Depending on the customer’s location and project requirements.


2. Scope of Services

KioTek provides professional consulting, implementation, configuration, integration, training, support, and advisory services related to:

  • Industrial AI Solutions

  • Predictive Maintenance Systems

  • AI Vision Inspection Solutions

  • OEE and Production Analytics

  • Energy Optimization Platforms

  • Industrial AI Copilot Applications

  • Pharma Compliance and Batch Intelligence

  • Manufacturing Data Analytics

  • Automation and Digital Transformation Services

Specific project deliverables, timelines, responsibilities, and fees shall be defined in separate proposals, statements of work (SOWs), service agreements, quotations, or purchase orders.


3. Website Use

Users agree to:

Delays caused by customer actions or inactions may impact project schedules.


5. Pilot Projects and Assessments

Industrial AI pilots, assessments, proof-of-concepts (POCs), and feasibility studies are limited-scope engagements designed to evaluate potential opportunities and outcomes.

Pilot projects:

  • Do not guarantee future performance.

  • Are intended for evaluation purposes.

  • May require additional implementation phases for full-scale deployment.

  • Are subject to assumptions documented in project proposals.

Any estimated savings, productivity gains, or ROI projections are indicative and may vary based on operating conditions and implementation practices.


6. Data Access and Usage

To deliver services, KioTek may require access to:

  • Machine and equipment data

  • Production information

  • Maintenance records

  • Energy consumption data

  • Operational reports

  • Process information

Customers retain ownership of their operational and business data.

KioTek shall use customer data solely for:

  • Project delivery

  • Solution development

  • Performance analysis

  • Technical support

  • Service improvement

Data shall not be sold, shared, or disclosed to third parties except where required by law or authorized by the customer.


7. Confidentiality

Both parties agree to protect confidential information exchanged during business engagements.

Confidential information may include:

  • Manufacturing processes

  • Production data

  • Trade secrets

  • Business strategies

  • Technical documentation

  • Software configurations

  • Customer records

Confidential information shall not be disclosed to third parties without prior written consent except as required by law.

Confidentiality obligations shall survive the completion or termination of services.


8. Intellectual Property

All intellectual property rights relating to:

  • Software

  • Dashboards

  • Analytics models

  • AI algorithms

  • Documentation

  • Reports

  • Methodologies

  • Frameworks

developed or owned by KioTek shall remain the property of KioTek unless otherwise specified in a written agreement.

Customers receive only the rights expressly granted under the applicable agreement.

Customers may not reverse engineer, copy, distribute, sublicense, or commercially exploit KioTek proprietary materials without written authorization.


9. Third-Party Technologies

Solutions may incorporate third-party software, cloud platforms, hardware, APIs, or services.

Such components remain subject to their respective licenses and terms.

KioTek is not responsible for:

  • Third-party service interruptions

  • Vendor policy changes

  • Third-party software defects

  • Third-party licensing disputes


10. Remote Access Services

Where remote implementation or support services are provided:

  • Customers shall provide secure remote access.

  • Access shall be limited to authorized personnel.

  • KioTek shall take reasonable measures to maintain security.

  • Customers remain responsible for their own cybersecurity controls and network security.


11. Fees and Payments

Project fees, payment schedules, and billing terms shall be defined in separate agreements or quotations.

Unless otherwise stated:

  • Invoices are payable within thirty (30) days.

  • Late payments may incur applicable interest charges.

  • KioTek may suspend services for overdue accounts.

Taxes, duties, government fees, and regulatory charges are the responsibility of the customer unless otherwise specified.


12. Warranty Disclaimer

KioTek provides services using commercially reasonable skill and care.

Except as expressly stated in a written agreement:

  • Services are provided “as is.”

  • No guarantee is made regarding specific business outcomes.

  • No warranty is made regarding uninterrupted service availability.

  • No warranty is made regarding the accuracy of AI-generated recommendations.

Customers are responsible for validating operational decisions before implementation.


13. Limitation of Liability

To the maximum extent permitted by law, KioTek shall not be liable for:

  • Loss of profits

  • Loss of production

  • Business interruption

  • Data loss

  • Consequential damages

  • Indirect damages

  • Special damages

  • Incidental damages

KioTek’s total liability under any engagement shall not exceed the amount paid by the customer for the specific service giving rise to the claim.


14. Indemnification

Customers agree to indemnify and hold harmless KioTek, its employees, officers, directors, affiliates, and contractors from claims arising from:

  • Customer misuse of services

  • Unauthorized system modifications

  • Regulatory violations by the customer

  • Inaccurate information supplied by the customer


15. Service Modifications

KioTek reserves the right to:

  • Modify service offerings

  • Update website content

  • Improve platform features

  • Discontinue services

without prior notice where reasonably necessary.


16. Termination

Either party may terminate a service engagement according to the terms specified in the applicable agreement.

Upon termination:

  • Outstanding fees become immediately due.

  • Confidentiality obligations remain in effect.

  • Intellectual property rights remain unchanged.


17. Privacy

Use of this website is also governed by our Privacy Policy.

18. Governing Law

For customers engaging with KioTek Digi Networks LLC, these Terms shall be governed by the laws of the applicable state within the United States.

For customers engaging with KioTek Digi Networks Private Limited, these Terms shall be governed by the laws of India.

Any disputes shall be resolved through negotiation, mediation, arbitration, or competent courts as mutually agreed by the parties.


19. Changes to Terms

KioTek reserves the right to update these Terms and Conditions at any time.

Updated versions shall become effective upon publication on the website.

Continued use of the website or services after updates constitutes acceptance of the revised Terms.
